The CIPC maintains a register of beneficial ownership (BO) for companies and close
corporations. This register requires these entities to submit beneficial ownership
information for anyone holding more than 5% of the entity. All such beneficial owners
must file the required details and supporting documentation with the CIPC. Failure to
comply with the compliance notice within the designated period may result in an
administrative penalty under Section 175 of the Companies Act.
All companies and close corporations registered in South Africa, regardless of their size
or type, are required to file beneficial ownership information. This includes external
companies, such as non-profit, private, and public companies operating within South
Africa.
